Brief Bio

Paolo Benazzo is Full Professor of Business and Corporate Law at the Faculty of Economics, Department of Economics and Management, University of Pavia, PHD at University Bocconi of Milan, Visiting Fellow and Life Member of the Clare Hall College of Cambridge University (UK). He coordinates the Law Section of the Department and holds several academic courses [i.e.: (i) Commercial Law; (ii) Listed Companies and Extraordinary Operations Law; (iii) Capital Markets and Listed Companies European Law]. He is currently Vice-Chancellor of the University of Pavia, Chairman of the “Ente per il Diritto allo Studio Universitario” (EDiSU) of Pavia.

Academically, he has always and continuously dedicated most part of his career in teaching as well in researching activity in the fields of Company Law, Commercial Law and Capital Markets Law. Since the completion of his PhD, his main research interests particularly concern: (i) freedom of Contract in Italian Company Law and the role of private punitive sanctions and enforcements; (ii) Corporate Governance Systems, Board of Directors’ and managers’ liabilities and Monitoring systems, with reference, in particular, to closely-held companies; (iii) Takeover bid rules and the Market of Corporate Control in joint-stock Companies with Listed Shares; (iv) Company Law and special rules governing the crisis and insolvency thereof. He has conducted a thorough and original research on Private Punitive Sanctions in Commercial Law, which ended up with the publication of an outstanding monograph book. He has published several other books on Company Law, as well as has published and publishes his researches in the most important Italian Law Reviews. He is member of the two National Association of Commercial Law Italian Professors (Associazione Disiano Preite and Orizzonti del Diritto Commerciale) and he has been member of the Panel of Professors coordinating Two Doctorate Programs. He is also expert referee in the Italian National VQR Programs.

Lawyer admitted to Higher Courts litigations, he is founding partner of a Law Firm in Milan and Rome, with a strong and in-depth experience, both on litigation and out of courts level, in the field of the Business Law, Corporate Law, Insolvency Law, Bank and Finance Law, as well as Tort Law and Arbitration Law.

He is also arbitrator at the National and International Chamber of Arbitration of Milan and at the National “Arbitro Bancario e Finanziario” (ABF). Appointed by Banca d’Italia (Central Bank of Italy) in Italian banks under “resolution” proceeding, he is member of the Board of Directors of some important Italian Corporations, even admitted to the Stock Exchange Market.

Research
